Stephen Urbinato recently presented a seminar entitled Organization and Sale of Business at Seton Hall University School of Law on behalf of the New Jersey Institute for Continuing Legal Education. The seminar focused on the various different forms of New Jersey business organizations; the business, tax and legal concerns that factor into choosing the most appropriate form for a given business; drafting organizational documents such as operating agreements and stockholders agreements; negotiating and drafting business purchase and sale agreements and implementing a business purchase and sale including due diligence, closing and post closing business integration issues.
